Severn Valley Railway Enterprises Limited (the Company) was incorporated on 21 May 2026 as a Private company limited by shares, registered number 17236030.[1] The Directors were Mark Whitehouse and Jonathan Dunster, both also Directors of SVR(H).[1]
The Company is a wholly owned trading subsidiary of the SVR's parent company, Severn Valley Railway Society Limited.[note 1] Companies House records the Company's nature of business as falling under the following classifications:[1]
- 33170 - Repair and maintenance of other transport equipment not elsewhere classified
- 47190 - Other retail sale in non-specialised stores
- 56101 - Licensed restaurants
- 93290 - Other amusement and recreation activities not elsewhere classified
An explanation of the background to the Company was given at the 2026 Guarantee Company AGM.[2] The Company was set up principally to comply with charity law. The intention of the One Railway project was (and is) to simplify the SVR's organisational structure by converting the Railway from a Public Limited Company (SVR(H)) into a Charitable Community Benefit Society (CCBS) Severn Valley Railway Society Limited and merging in the business and activities of the Guarantee Company, thereby simplifying the management structure and reducing the number of operating companies. It therefore appears counter-intuitive to set up a new company as part of that process. However Charity law requires that the trading activities of the charitable company must be restricted to activities directly relating to the charitable activity (in the case of the SVR, operating a heritage railway). Normal practice in this situation is to establish a trading subsidiary company to conduct other non-charitable commercial activities, with profits from those activities being routed to the parent charity.[note 2]
An obvious example of a non-charitable activity formerly carried out by SVR(H) is the operation of the Railway's two pubs, the King and Castle and the Railwayman's Arms. Another type of activity which would be carried out the Company rather than the CCBS would be contract engineering work for third parties, in this instance to protect the charity against any liabilities and potential failures of such work.[note 3]
